LocalStylin.com is a portal which allows anyone to post the latest fashion trends and clothing styles in their local area. This User Agreement (the "Agreement") describes the terms and conditions on which LocalStylin.com invites you (the “User”) to post in LocalStylin.com (the “Website”). By accessing or using the Website at www.localstylin.com or the mobile version thereof or by posting on said Website, the User signifies that he/she has read, understands and agrees to be bound by the Agreement, whether or not he/she is a registered user of LocalStylin.com. LocalStylin.com reserves the right, at its sole discretion, to change, modify, add, or delete portions of this Agreement at any time without further notice. If it does so, LocalStylin.com shall post the changes to the Agreement on this page and will indicate at the top of this page the date the Agreement was last revised. The User’s continued use of the Website after any such changes constitutes his/her acceptance of the new Agreement. If the User does not agree to abide by these changes or any future Agreement, please do not use or access (or continue to use or access) the Website. It is User’s responsibility to regularly check the Website to determine if there have been changes to the Agreement and to review such changes.

1. Registration. Information required upon registration for each User on the Website must be accurate and complete. User must update such information as needed in order to ensure that the information remains accurate and complete.
2. User ID and Password. LocalStylin.com assumes that all activities made by the User using his/her User ID and password are authorized by said User.
3. Posting of Blogs and Articles. Upon registration with LocalStylin.com, User may post blogs, articles, or comments (the “Posting”), including without limitation text, data, photos, graphics, music, sounds and videos on the Website, relating to any topics relevant to the latest fashion trends in his/her local area.
4. License. By posting on the Website, User agrees that LocalStylin.com shall have complete ownership of and unlimited and irrevocable rights (including economic, moral and all other rights that may exist in such material) and license to use, display, publish or communicate to the public, permit others (including without limitation LocalStylin.com’s co-brand partners) to publish the Postings, online and offline, for a fee or otherwise, in whole or in part, throughout the world and in any form, media, or technology now known or later developed without need of any notice, remuneration, compensation, royalties or attribution to the User. Nothing herein, however, shall permit LocalStylin.com to use the name of the User, or the title of his work, or otherwise to make use of his reputation with respect to any version or adaptation of his Posting which, because of alterations therein, would substantially tend to injure his literary or artistic reputation; or to use the name of the User with respect to a Posting he/she did not create or post.
5. User Conduct
User agrees not to post, email, or otherwise make available content:
a. that is unlawful, pornographic, abusive, harassing, defamatory, libelous, invasive of another's privacy, or is harmful to minors in any way;
b. that harasses, discriminates, degrades, intimidates or is hateful toward an individual or group of individuals on the basis of religion, gender, sexual orientation, race, ethnicity, age, or disability;
c. that is false, deceptive, misleading, deceitful, or constitutes "bait and switch";
d. that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party, or content that the User does not have a right to make available under any law or under contractual or fiduciary relationships;
e. that constitutes or contains affiliate marketing, link referral code, junk mail, spam, chain letters, pyramid schemes, or unsolicited commercial advertisement;
f. that advertises any illegal service or the sale of any items the sale of which is prohibited or restricted by any applicable law;
g. that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
7. Content Filtering
a. LocalStylin.com reserves the right to edit, delete, or prune any and all Postings which, in its sole opinion, violates any of the terms and conditions of this Agreement.
b. LocalStylin.com may elect, at its sole discretion, to monitor some, all, or no areas of the Website for adherence to these terms and conditions or LocalStylin.com policies and guidelines.
c. Any User who feels that a Posting is objectionable may request LocalStylin.com to delete said Posting by email through info@localstylin.com. Upon receipt of such a request, LocalStylin.com will determine, in its sole opinion, if such deletion is necessary. If deemed necessary, LocalStylin.com will make every effort to do so, within a reasonable period.
d. LocalStylin.com does not endorse or recommend any of the opinions or ideas contributed by its Users. However, LocalStylin.com permits other Users to make judgments about User’s Postings.
e. LocalStylin.com is not responsible for any and all Postings uploaded to the Website. LocalStylin.com does not attempt to control or validate any comments or recommendations provided by the participants and is not responsible for any inaccuracies in the Postings. LocalStylin.com does not bear the risk associated with the accuracy, completeness or usefulness of the Postings.
6. Third Party Websites and Content. The Website contains links to other web sites (the "Third Party Sites") as well as articles, photographs, text, graphics, pictures, designs, music, sound, video, information, applications, software and other content or items belonging to or originating from third parties (the "Third Party Applications, Software or Content"). Such Third Party Sites and Third Party Applications, Software or Content are not investigated, monitored or checked for accuracy, appropriateness, or completeness by LocalStylin.com, as such, LocalStylin.com shall not be responsible for any Third Party Sites accessed through the Website or any Third Party Applications, Software or Content posted on, available through or installed from the Website, including the content, accuracy, offensiveness, opinions, reliability, privacy practices or other policies of or contained in the Third Party Sites or the Third Party Applications, Software or Content. Inclusion of, linking to or permitting the use or installation of any Third Party Site or any Third Party Applications, Software or Content does not imply approval or endorsement thereof by LocalStylin.com. If User decides to leave the Website and access the Third Party Sites or to use or install any Third Party Applications, Software or Content, the User does so at his/her own risk and should be aware that this Agreement no longer governs. The User should review the applicable terms and policies, including privacy and data gathering practices, of any site to which the User navigates from the Website or relating to any applications he/she uses or installs from said sites.
7. No Warranty.
a. LocalStylin.com disclaims any and all responsibility or liability for the accuracy, content, completeness, legality, reliability, or operability or availability of information or material in the Website.
b. LocalStylin.com disclaims any responsibility for the deletion, failure to store, misdelivery, or untimely delivery of the Postings.
c. LocalStylin.com disclaims any responsibility for any harm resulting from downloading or accessing any information or material through the Website.
d. The Website is provided "as is," and LocalStylin.com and its co-brand partners expressly disclaim all warranties or conditions of any kind (whether express, implied or statutory), including without limitation the implied warranties of title, non-infringement, and fitness for a particular purpose. Without limiting the foregoing, LocalStylin.com does not promise or warrant that any aspect of the web site and system will work properly or will be available continuously.
8. No Liability. In no event shall LocalStylin.com be liable to any party for any loss or damage, including but not limited to lost revenues or profits or special, indirect, incidental or consequential damages (howsoever arising, including negligence) arising out of or in connection with the Website, its services or this Agreement.
9. Indemnity. The User agrees to indemnify and hold LocalStylin.com, its subsidiaries and affiliates, and each of their directors, officers, agents, contractors, partners and employees, harmless from and against any loss, liability, claim, demand, damages, costs and expenses, including reasonable attorney's fees, arising out of or in connection with any content, or any Third Party Applications, Software or Content posted or shared on or through the Website, or any use of, or conduct in connection with, the Website or with other Users of the Website, or any violation of this Agreement or of any law or the rights of any third party.
10. Access Limits. Without the prior written consent of LocalStylin.com, User may not (a) use any automated means to access the site or collect any information from the Website (including without limitation robots, spiders or scripts), or (b) frame the site, place pop-up windows over its pages, or otherwise affect the display of its pages, (c) reprint, reproduce or use the Postings in part or as a whole.
11. Services, Fees and Charges. LocalStylin.com reserves the right to modify the services offered by the Website from time to time, with or without notice, including the right to terminate such services. LocalStylin.com reserves the right to charge any fees for use or posting on the Website. At present, however, LocalStylin.com does not charge any fees for posting on the Website.
12. Amendments. LocalStylin.com reserves the right to amend any of the terms and conditions of this Agreement at any time. Such amended terms and conditions shall be effective when posted at the Website.
13. Termination. LocalStylin.com reserves the right to terminate User’s use of the Website at anytime, with or without notice. Following termination, at its sole option, LocalStylin.com may remove some or all of User’s Postings from the Website or leave it available for public review, without need of notice or approval from the User.
14. Governing Law and Venue. This Agreement shall be governed by and construed in accordance with the laws of the State of California. In the event of any dispute arising out of or in connection with this Agreement, the venue shall be the proper courts in the State of California.
